Terms of Service

Project Consideration

Please note that The Susquehanna Valley Fog Company Web is a family-owned and operated company. Therefore, we will not accept nor quote on projects that we find morally questionable, unethical, or distasteful.  All clients of must be of at least 18 years of age.

International Customers

We are happy to accept projects from customers outside of the United States. However, we do require full payment of all projects prior to beginning your project via PayPal.  This is non-negotiable.

Quotes & Contracts

All quotes will be drawn up according to the specifications provided by the client on the initial quote request form and/or initial discussions between The Susquehanna Valley Fog Company and the client.  Should the client desire any modification or addition services, an addendum to the quote will be drawn up.

All quotes including any addendum(s) provided to the client will be honored for 30 calendar days.  A new quote will then be provided upon request. By signing the Working Agreement provided within each quote, the client authorizes The Susquahanna Valley Fog Company to drawn up a contract based on the quote, including any addendum(s).

Contracts that have been written, but not signed by the client will only be accepted within 30 calendar days of the delivery date.  A new contract may be drawn up upon request.

Communication

In order to ensure the best quality product and service, the client understands and will communicate with The Susquehanna Valley Fog Company in a clear, written format either by general correspondence (email, letter, or memo) or instant messenger.

The client will be responsible for providing The Susquehanna Valley Fog Company with the most current contact information (email, instant messenger ID, mailing address, and phone number).

Email consultation, for established client projects, is provided to you free of charge.  A maximum of four (4) hours total general blog orientation and design consultation is included in the initial quote.   Additional education and consultation is billed at our normal hourly rate of $25 US (minimum 1 hour).

Non-Communication

If we are unable to communicate with a client on a project for a duration of at least thirty calendar days (30) by email or phone during the design and development process, The Susquehanna Valley Fog Company reserves the right to cancel the project without prior notice and no refund will be issued.

In event should the client be unable to communicate for a duration of time, the client may request a Project Extension in writing to The Susquehanna Valley Fog Company for an additional fee of 20% of the project total cost for every 30 days of extension. All extension fees are due upon agreement of the extension between The Susquehanna Valley Fog Company and the client.

All notice of cancellation of service will be sent via US postal mail on the 31st day from the start date of the project.

Project Design & Development Process

The website project creation & development process will be performed on our development website where you can review your project at any time from the start date of the project.  Understanding the time frame will be essential to the sucess of your project.  You agree to communicate with The Susquehanna Valley Fog Company accordingly.  The process is two stages.

The Creation Process

All websites will begin with the design process once your initial payment has been received. (See Charges, Fees & Payments.) The design process will cover the overall concept and layout of your design work, based on the specifications outlined in your contract.

This process may also require further communication with you to nail down all of the specifics or clarify anything we may have questions on.  This process will include the following;

  • Creation of the custom layout that make up the foundation of your blog design, including the header graphics, any navigational graphics, button, banners, etc.
  • Creation of the custom style sheet (CSS) that makes up the foundation of the format and layout of your blog/site design

The original design will be created according to the specifications provided to achieve the visual look and feel the client desires.  The client may build and expand the original design or should the client prefer, a new look may be requested.

Revisions

A limit of two (2) design revisions will be allowed.  Additional design revisions may be requested at an hourly rate of $50 US (minimum 1 hour).

The Development Process

Once the client has signed off on the design and the second payment has been received (see Charges, Fees & Payment), the development of your website will begin.  This process will include the following;

  • Creation of pages as outlined in your contract.
  • Uploading and placement of content and graphics.
  • Installation of any required plugins to complete the functionality of your website.

The original layout will be created according to the specifications provided to achieve the visual look and feel the client desires.  The client may build and expand the original layout or should the client prefer, a new layout may be requested.

Revisions

A limit of two (2) layout revision will be allowed.  Additional layout revision will be billed at an hourly rate of $50 US (minimum 1 hour).

Browser Compatibility

Your design will be designed and tested for compatibility in the latest version of the following browsers:

  • Internet Explorer
  • Mozilla Firefox
  • Opera
  • Safari

The Susquehanna Valley Fog Company will not code for browsers not listed here, older than the current release or future browser versions still in Beta testing.

Estimated Time Completion

The Susquehanna Valley Fog Company Web Design understands the importance of completing projects in a timely manner.  We agree to complete the web design project within sixty (60) days from the date of contract signing.  While The Susquehanna Valley Fog Company will strive to complete the project within 30 days, depending on the scope of the project, an additional 30 days may be required.

If the client does not supply The Susquehanna Valley Fog Company Web Design with complete text, graphic content and other requested materials as outlined in the contract within 30 days of contract signing, the contract becomes void and all deposits paid by the client are forfeited.

Should the client desire the services (where available) within the RUSH time frame, all RUSH orders will be completed in the time frame as outlined in the contract.  (For additional information, see the Services page.)

Project Completion

The Susquehanna Valley Fog Company understands the importance of completing projects in a timely manner.  We agree to complete the web design project within sixty (60) days from the date of contract signing.

Once the project has been completed, the client will be required to sign the project approval form.  Should the project be completed within 60 days, the client will still have the opportunity to make any revision as allowed under the terms of the contract before the 60 days has been reached.

Delivery of Project

Once the final payment has been received, The Susquehanna Valley Fog Company will install the website including the necessary plugins as outlined in the contract on the client’s host server.

The client will receive the design and layout in an electronic format.  The client will be responsible for making backup copies and storing them in a safe place.  While The Susquehanna Valley Fog Company will keep one copy of the original design (see Promotional Use), should the client require us to provide the copy, you may request it for a $50 fee.

Hosting Requirements

The Susquehanna Valley Fog Company cannot be held responsible if your hosting plan does not not support WordPress.  Refunds will not be made in the event that The Susquehanna Valley Fog Company finds that we cannot install the program on your account.  The client is responsible for researching whether their host provider can support the requirements stated in the blog software documentation.

Web Site Design Credit

All web site clients will have a link to The Susquehanna Valley Fog Company on their website in the footer of every page. This is non-negotiable.

By hiring us to work on your website you are agreeing to this, and that you understand that this link may NOT be removed without our consent. A fee of $150 will be required to have this link permanently removed.  Should you have a new layout designed for your site by a company other than The Susquehanna Valley Fog Company, you may remove the credit from your website.

Charges, Fees & Payments

All web design projects that are less than $350 US requires full payment upon contract signing.

Projects where the total cost is $350 US or more will be split into three payments, each payment representing a third (1/3) of the total project cost.

  1. Initial deposit (1/3) is due upon contract signing.
  2. 2nd Payment (1/3) is due upon the acceptance of the website design.
  3. Final Payment (1/3) is due upon acceptance of the completed web development project before it is released to the client or published to the Internet.

The client may opt to pay in full up front.  Should a refund be requested, the refund will be processed within 30 days.  (see Refunds)

Payments

The Susquehanna Valley Fog Company accepts check, money order, and electronic payments (via PayPal only).  Online payments may be mad with available funds in client’s PayPal account or with an authorized credit/debit card.  Your project will not be released to you or uploaded until full payment is received.

Any check payments that do not clear will be charged a $35 fee. The Susquehanna Valley Fog Company retains the right to hold all graphics, and project development with the exception of content and graphics provided by the client, until payment is received for such items. (see copyright & ownership clause)

Please note that by submitting your payment for our services you are agreeing to all of our terms of service as written here. The Susquehanna Valley Fog Company reserves the right to change or update these terms at any time without prior notice.

Cancellation

All requests to terminate services must be presented to The Susquehanna Valley Fog Company in writing.

Should the client’s project be cancelled by either a breach of contract (as outlined here in the TOS), customer request, or termination by The Susquehanna Valley Fog Company then the project design will become the sole property of The Susquehanna Valley Fog Company except for all customer provided content.

A $150.00 cancellation fee will be billed to the customer if the customer request termination of the project or the customer commits a breach in the contract with The Susquehanna Valley Fog Company. The Susquehanna Valley Fog Company reserves the right to terminate a customer’s project at its own discretion.

Refunds

The Susquehanna Valley Fog Company has a Guaranteed 60 Day Turnaround for your project. If we fail to complete your project within 60 days of the start date AND you have turned in all content, images and information requested by us, you will receive a full refund within 30 days of your written request. Otherwise, please follow the refund terms below.

Refund Amounts will be calculated in the following ways:

  1. A cancellation fee of 20% (twenty percent) of the total deposit paid will be retained for projects that have been booked, but canceled prior to the start date.
  2. A cancellation fee of 30% (thirty percent) of the total deposit paid will be retained for projects that have been started and are in the design process.
  3. A design fee of $250 (two-hundred and fifty dollars) will be retained on projects where the design portion of the development has been completed, and the client has accepted the design, but whereas the development process of the project has not begun. (Upon payment, the design will be released to the client for use, see copyright & ownership clause)
  4. Projects that are in the development process at the time the request for termination is received will be billed at the hourly rate of $35 per hour. Should the amount of time put into your project be greater than the deposit you have paid to The Susquehanna Valley Fog Company, you will be billed the difference. Upon payment of these fees, the work completed up to the time of termination will be released to the client.

Refunds will be processed within 30 business days of request by the client, if there is a refund amount due based on the terms above.

Because domain and hosting fees are made payable to third party providers in advance, The Susquehanna Valley Fog Company is unable to offer refunds on hosting, SSL and domain services. If you are dissatisfied with the hosting services provided, we will be happy to work out a solution with you that will meet your company needs.

Chargebacks

The Susquehanna Valley Fog Company Web Design will not negotiate chargebacks with any person or company. Our Refund policies are clearly stated above, and all clients are asked to read and agree to our terms of service prior to the start of any project.

Hours of Operation

Normal business hours are 8AM to 12PM and 5PM to 9PM, Mondays through Fridays.  If you require maintenance after the posted hours, such as on weekends or holidays, you will be charged our base rate of $50 per hour with an additional charge of $30 per hour for after hours assistance.

Copyright & Ownership

Upon completion of the project, The Susquehanna Valley Fog Company transfers all rights and ownership of CUSTOM designs and programming written by The Susquehanna Valley Fog Company to the client.  Software and third party graphics or programs are not transferred to the client and remain under copyright of their respective owners.

The Susquehanna Valley Fog Company reserves the right to resell custom designed web sites that remain unpaid by the original client, unaccepted mockups or other graphics created by The Susquehanna Valley Fog Company but not in legal use by the client.

Promotional Use

The Susquehanna Valley Fog Company reserves the right to use project details for promotional material, their portfolio and project case studies for education, training and promotional reasons  on their website.

Liability

Services purchased from The Susquehanna Valley Fog Company are provided “as is” without warranty of any kind that the web design project will be uninterrupted or error free. In no event shall The Susquehanna Valley Fog Company be liable to the client for any direct, indirect, special, punitive, incidental, or consequential damages arising out of the use of the website, services, and/or goods provided to the client. This includes, without limitation, lost profits, business interruption, loss of data or other losses directly resulting from the use of the website, services, and/or goods provided to the client.

The entire risk as to the quality and performance of the web design is with the client.

Use of Photography and/or Artwork

The client agrees to assume all responsibilities for any non-licensed imagery provided by the client for use on their website.  The client may use royalty-free or purchase limited-use graphics and photos on their website.  Should the client wish to purchase limited-use graphics or photos, the client will be billed for each purchase which is due upon final payment regardless of whether the client uses them in their website or not.

Licensing

In regards to custom graphic, and template work you’ve purchased through The Susquehanna Valley Fog Company (this refers to non-stock art, royalty free images from outside sources) – the rights for all works, templates, photographs, graphics and images that are created for your project by The Susquehanna Valley Fog Company remains the property of The Susquehanna Valley Fog Company. You may use those images and renderings on your personal website, blog or home computer as long as proper copyright is noted. You may not alter, transform, or build upon those images in any way. These items are not licensed for commercial use, profit or redistribution – please contact The Susquehanna Valley Fog Company for information in regards to commercial licensing.

Software Support

It is the sole responsibility of the client to obtain support from the software company for the software program you are using to power your site and/or blog. The Susquehanna Valley Fog Company does not provide ongoing technical support for these blog software programs. We will be happy, however, to provide you with useful links to the software’s knowledge base, support forums or other online documentation that may be helpful in getting you started using the blog software you have chosen.

Software Licensing

It is the SOLE RESPONSIBILITY OF THE CLIENT TO OBTAIN PROPER LICENSING with use of any blog software program.

Data Backup

Client assumes all responsibility for their files and templates. While we do our best to try to keep a back up copy of your files, it is your responsibility to backup your files and templates in case of emergency. After all, we could step off the curb tomorrow and . . . well, you know.

Template Reuse

You are welcome to use the themes you purchase and we create for you to learn from and create additional themes on your site only.

When you purchase a site design from The Susquehanna Valley Fog Company – it is licensed for use on one domain only. The licensing of your template does not cover use on other domains and it is not available for redistribution or resale in any way, shape, or form. If you decide you’d like to use the theme on another, or several other, domains – please let us know and we will provide a quote on the additional licensing.

Our templates are not available for you to reuse for profit in any way.
